Effective Date: September 2026 • Governing Business Operations & Client Engagements
1. Scope & Master Engagement Structure
These Terms of Service ("Terms") govern access to the ClariSureVA website (clarisureva.com) and establish the contractual framework under which ClariSureVA ("Company", "we", "us") supplies dedicated remote administrative, revenue cycle, and operational personnel ("Healthcare Virtual Assistants") to U.S. medical practices, clinics, physician groups, and revenue cycle management organizations ("Client", "you"). Individual staffing engagements are further defined by executed Statements of Work (SOW) and Business Associate Agreements (BAA).
2. Operational Supervision & Non-Clinical Designation
A. Client Direction: The Client maintains exclusive managerial control over the day-to-day task assignments, work prioritization, clinical charting instructions, billing queues, and procedural standards executed by assigned Healthcare Virtual Assistants. ClariSureVA administers international human resources, payroll disbursements, statutory benefits, and attendance tracking, but does not dictate clinical or billing decisions.
B. Non-Vendor Status: ClariSureVA is a dedicated healthcare staffing provider, NOT an outsourced medical billing agency or licensed healthcare practice. ClariSureVA does not practice medicine, provide medical advice, or guarantee specific financial metrics (such as reimbursement percentages, clean claim rates, or collection totals). Ultimate responsibility for provider credentialing, claim submission accuracy, and clinical chart validation resides solely with the Client.
3. HIPAA Compliance & System Access Control
A. Business Associate Agreement: Prior to granting any virtual assistant access to software containing Protected Health Information (PHI), the parties execute a formal HIPAA Business Associate Agreement as mandated by 45 CFR § 164.504(e).
B. Credential Lifecycle: The Client is solely responsible for creating, monitoring, auditing, and terminating unique user credentials within its Electronic Health Record (EHR), Practice Management (PM), and clearinghouse systems. ClariSureVA staff must never be provided shared or generic administrative login credentials.
C. Zero-Local-Storage Covenant: All personnel are strictly prohibited by Company policy and employment contracts from downloading, exporting, printing, or locally storing any patient records or PHI on local hardware drives.
4. Invoicing, Rates & Staffing Guarantees
A. Hourly Transparent Rates: Services are billed at agreed-upon flat hourly rates (typically $8 to $12.00 per hour depending on clinical specialty and technical requirements), with zero hidden payroll, hardware, or management surcharges.
B. 14-Day Fit Guarantee: If within the first fourteen (14) calendar days of placement, the Client determines in good faith that an assigned virtual assistant does not satisfy operational standards, ClariSureVA will assign a replacement candidate at no additional sourcing charge.
5. Non-Solicitation & Restrictive Covenants
The Client acknowledges that ClariSureVA invests substantial resources in recruiting, vetting, and onboarding healthcare talent. The Client agrees not to solicit, recruit, hire directly, or contract with any ClariSureVA virtual assistant assigned to the Client during the active engagement and for a period of twelve (12) months following the conclusion of services, except through an authorized written talent buyout agreement.
6. Term, Cancellation & Offboarding
Unless otherwise specified in an active SOW, standard staffing agreements operate on a flexible month-to-month basis cancellable by either party upon thirty (30) days written notice. Upon notice of termination, the Client immediately revokes all system and software credentials, and ClariSureVA conducts complete workstation decommissioning procedures.
